This Policy contains the terms and conditions of participation in the non-exclusive Reseller Program. As used in this Policy, "Reseller" refers to yourself, and "BEWELL MEDICAL" refers to our company located in Mexico.
BEWELL MEDICAL reserves the right to revise this Policy from time to time.
To enroll in the Reseller Program, you must place your order through the BEWELL MEDICAL website, after placing your order, and complete the form. You will be contacted to review the final details.
2.1 BEWELL MEDICAL processes the Customer's Order
BEWELL MEDICAL agrees to pay the "Reseller" a contractually agreed upon commission for each product sale, BEWELL MEDICAL will process the Reseller's customer order. The customer must be referred by the Reseller or one of its employees to the order links on BEWELL MEDICAL's websites.
All of our rules, operating procedures and policies regarding customer orders and accounts will apply to orders we receive through special links on your site. We reserve the right to reject any order that does not comply with our rules, operating procedures and policies.
It is the sole responsibility of the Reseller to ensure that their link to the BEWELL MEDICAL order form is set up correctly in the event that they sell through the Reseller's website. The Reseller will receive a confirmation email after a customer has placed each order.
2.2 Reseller processes the customer's order
If you process a customer's order, you will collect payment directly from the customer. The Reseller will keep the agreed percentage of the sales and BEWELL MEDICAL reserves the right to charge the Reseller's credit card for the remaining percentage.
2.3 Double Order Policy
In the situation where a customer places the same order with 2 different Resellers (i.e. from 2 different websites), BEWELL MEDICAL will retain 25-50 % of the sales amount, 25-50 % of the commission will be shared by two Resellers in the following situation:
(i) If both Resellers successfully process an order, both Resellers will share a 25-50 % commission half and half, which means that each Reseller will receive a 25-50 % commission of the product price. An order must be refunded to the customer after instructions from BEWELL MEDICAL.
(ii) If an order is placed with 2 Resellers, but only one Reseller successfully processes it, the 25-50 % commission will be divided as follows: 25-50 % for one Reseller, whose order has been successfully processed (no change as 25-50% is the usual commission rate) 20% for one Reseller, whose order has not been processed (meaning it has been rejected for some reason).
BEWELL MEDICAL will pay commissions every 30 days, approximately 20 to 25 days after the previous accounting period. If the commission does not reach $150 USD for the previous accounting period, the outstanding amount will be carried over to the next accounting period.
All payments will be made in U.S. dollars by wire transfer. If a processed sale results in a chargeback or refund, the related commission will be deducted from the next monthly payment. If no other payments are due, BEWELL MEDICAL reserves the right to bill the Reseller for the amount due.
WARNING: No commission is issued on the Reseller's own orders. We will carefully investigate any unexpected activity.
If it is detected that the Reseller's order was for your own use or for a company you are employed by, you will not be paid commission until you have at least three (3) resale orders in progress. BEWELL MEDICAL reserves the right to change commission and payment policies whenever a 30-day notice is posted on the website or by email.
BEWELL MEDICAL's rules, policies, customer orders and service operating procedures, product prices and descriptions shall apply to all BEWELL MEDICAL customers.
BEWELL MEDICAL reserves the right to make changes and modifications at any time, provided that prior notice is emailed to Reseller or displayed on the BEWELL MEDICAL website.
If such changes and modifications occur, the Reseller must adjust the information on its website of the Policy with the latest updates to ensure consistency of the information on the BEWELL MEDICAL site on the Internet (this refers especially to the change of prices such as the commission for the Reseller's sales). It is calculated based on BEWELL MEDICAL prices.
Reseller is responsible for the development, operation and maintenance of its website and for all materials appearing on its site or materials printed by Reseller for local marketing use.
At any time, BEWELL MEDICAL may review Reseller's website and/or any printed materials for appropriateness; however, BEWELL MEDICAL is not obligated to review Reseller's website and/or links. No obscene language, sexually oriented material or offensive language may be used on the Reseller's website.
The Reseller agrees NOT TO SEND UNSOLICITED mail or SPAM to directly or indirectly promote BEWELL MEDICAL products. Violation of this policy will result in immediate termination of this agreement and cancellation of any outstanding commissions.
Reseller may not modify any of the creative works without the express permission of BEWELL MEDICAL. BEWELL MEDICAL reserves all rights in its trade names and trademarks and all other intellectual property rights. BEWELL MEDICAL has the right to specify how and whether Reseller may use a trademark.
This Policy shall remain in effect until either party terminates the program at any time and for any reason by giving written notice of termination to the other party, which may be by email.
Commissions earned through the date of termination will remain payable only if qualified sales are not cancelled or refunded by the referred customer. BEWELL MEDICAL may withhold final payment for a reasonable time to ensure payment of the correct amount of commission.
BEWELL MEDICAL and Reseller are independent contractors. BEWELL MEDICAL and Reseller shall each conduct their respective business on its own initiative, responsibility and expense, and shall have no authority to incur any obligation on behalf of the other, except as otherwise provided herein.
BEWELL MEDICAL makes no express or implied warranties or representations with respect to the Reseller Program or your potential to earn income from the BEWELL MEDICAL Reseller Program. In addition, BEWELL MEDICAL does not warrant that the operation of its site or Reseller sites will be uninterrupted or error-free, and BEWELL MEDICAL shall not be liable for the consequences of any interruptions or downtime.
BEWELL MEDICAL shall not be liable for any indirect, incidental, special or consequential damages or any loss of revenue, profits or data arising in connection with this Policy or the Program, even if BEWELL MEDICAL has been advised of the possibility of such damages. BEWELL MEDICAL's total liability arising under or in connection with this Policy or the program shall in no event exceed the total fees paid or payable by BEWELL MEDICAL under this Policy.
This Policy shall be governed by and construed under the jurisdiction of the courts of MEXICO. Any dispute arising out of this Policy, including, without limitation, a breach of this Policy shall be governed by the laws of MEXICO.
Without regard to its conflict of laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in MEXICO courts in all disputes arising out of or relating to this Policy.
By registering with the BEWELL MEDICAL Reseller program, you are agreeing to this Policy.
